These Terms & Conditions of Sale ("Terms") govern the sale and supply of all products and services by Jolly Clothing Ltd, trading as Charity Printwear ("we", "us", "our"), to our customers ("you", "your").
These Terms apply to all quotations, orders and contracts for the supply of goods and services unless otherwise agreed in writing.
By placing an order with us, you confirm that you have read, understood and accepted these Terms.

Samples are provided to help assess quality and suitability. Minor variations between samples and production items may occur due to different production batches, materials or decoration methods.

If incorrect information is supplied and production has commenced, additional charges may apply to rectify the Order.
An Order becomes binding only when we issue written confirmation accepting it.
We reserve the right to decline or cancel an Order before acceptance where, for example:
Where payment has already been received for an Order that cannot be accepted, any sums paid will be refunded.
Before production begins, you may be provided with a digital artwork proof or visual mock-up for approval.
It is your responsibility to check:

Approval confirms that you accept responsibility for the accuracy of the approved artwork.
Changes requested after approval may incur additional costs and may affect production schedules.
Production times quoted by us are estimates unless expressly confirmed in writing.

We will make every reasonable effort to meet agreed production schedules but cannot accept liability for delays caused by circumstances outside our reasonable control.
As the majority of our products are customised to your individual requirements, they are manufactured specifically for you.
Personalisation may include, but is not limited to:
Once production has commenced, personalised products cannot usually be amended, cancelled or returned unless they are faulty or do not conform to the agreed specification.
Where you are purchasing as a consumer, your statutory rights under UK consumer legislation remain unaffected.
However, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the right to cancel does not generally apply to goods that are made to the consumer's specifications or are clearly personalised.
For this reason:
Where an order relates solely to non-personalised stock products, any applicable statutory cancellation rights will be honoured.
You are responsible for ensuring that all information supplied to us is complete and accurate.

We cannot accept responsibility for errors contained within approved artwork or information supplied by the customer.
Every reasonable effort is made to achieve accurate reproduction of colours.
However, you acknowledge that:
Unless specifically agreed in writing, exact colour matching cannot be guaranteed.
Where Pantone colour matching is requested, we will make every reasonable effort to achieve the closest possible match, but minor variations may still occur.
The positioning of printed or embroidered designs is carried out using professional production methods.
Minor variations in placement are an accepted part of the manufacturing process.
Unless otherwise agreed, reasonable manufacturing tolerances do not constitute defects.

Payment terms will be confirmed at the time of quotation or order.
Unless otherwise agreed, payment may be made by:
For certain business customers, schools, charities or public sector organisations, payment may be accepted against an official purchase order where agreed in advance.
We reserve the right to withhold production or dispatch until payment has been received or satisfactory payment arrangements have been agreed.
Delivery dates provided by us are estimates unless expressly confirmed in writing.
Whilst we work hard to achieve agreed production schedules, delays can occasionally occur due to circumstances beyond our reasonable control.

Where practical, we will keep you informed of any significant delays.
Where necessary, we reserve the right to dispatch orders in multiple consignments.

Unless otherwise agreed, this will not result in additional delivery charges being applied to you.
Risk in the Products passes to you upon delivery.
Ownership of the Products will remain with Jolly Clothing Ltd until full payment has been received in cleared funds.
Until ownership passes:
You should inspect your order as soon as reasonably practicable following delivery.

Prompt notification greatly assists us in resolving any issues quickly and efficiently.

As many of our products are personalised or manufactured to your individual specification, returns are handled differently from standard retail products.
Unless products are faulty, damaged, incorrectly supplied or otherwise required by law, personalised products cannot normally be returned.
Where non-personalised stock items are supplied, returns may be accepted subject to our Delivery & Returns Policy.
Products should not be returned without first contacting us and receiving confirmation of the appropriate returns procedure.
We take great care to ensure all products are manufactured and inspected before dispatch.
If you believe your order is faulty or has not been produced in accordance with the agreed specification, please notify us as soon as reasonably practicable.

If we determine that a product is faulty or incorrectly supplied, we will, at our discretion and in accordance with your statutory rights:
Nothing in these Terms limits your statutory rights.
Where customers provide products, artwork or other materials for us to personalise or use in connection with an Order, they remain the customer's responsibility until received by us.
Whilst every reasonable care is taken, we cannot accept responsibility for loss of or damage to customer-supplied items where this results from circumstances beyond our reasonable control or from the nature or condition of the items supplied.
We recommend that valuable or irreplaceable items are not supplied for personalisation unless this has been specifically agreed in advance.
Ownership of customer logos, trademarks and other intellectual property remains with the customer or the relevant rights holder.
By supplying artwork, you confirm that you have the necessary rights, permissions or licences to use it.
You agree to indemnify us against any claims arising from the use of artwork or materials supplied by you that infringe the rights of a third party.
Our own branding, website content, photography, visual mock-ups (where not incorporating your intellectual property), designs, documents and marketing materials remain the intellectual property of Jolly Clothing Ltd unless otherwise agreed in writing.

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.

Where such circumstances arise, we will use reasonable endeavours to minimise disruption and keep you informed.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

Where an event beyond our reasonable control prevents or delays the fulfilment of an Order, we will not be treated as being in breach of these Terms for the duration of that event.

constitute the entire agreement relating to the supply of products and services by Jolly Clothing Ltd t/a Charity Printwear, unless otherwise agreed in writing.
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer legislation provides otherwise.
